1. Introduction & Acceptance of Terms

  • Legal Agreement: These Terms of Service constitute a legally binding contract between you (“User,” “you,” or “your”) and Vertex Algo (“Company,” “we,” “us,” or “our”) governing your access to and use of our website, custom indicators, scripts, software, community channels, and related services (collectively, the “Services”).

  • Explicit Consent: By accessing, registering for, or purchasing any part of our Services, you signify that you have read, understood, and unconditionally agree to be bound by these Terms. If you do not agree, you must immediately cease all use of our website and products.

2. Definitions & Scope of Services

  • Platform Scope: Vertex Algo provides proprietary technical analysis indicators, automated trading scripts, and charts developed exclusively for use within the TradingView ecosystem, alongside private community access.

  • No Physical Delivery: All products offered are entirely digital. Services are activated digitally via automated provisioning systems upon successful transaction processing.

3. Account Registration, Security & TradingView Requirements

  • Accurate Information: To utilize our software, you must create an account and provide accurate, current, and complete details, including your precise TradingView username.

  • Script Authorization: Providing an incorrect TradingView username will delay or prevent script authorization. We are not responsible for access delays caused by user-submitted errors.

  • Account Confidentiality: You are solely responsible for maintaining the strict confidentiality of your account credentials, login tokens, and access rights. You agree to notify us immediately of any unauthorized account activity.

  • Non Transferability: Accounts and script licenses are strictly tied to a single user. Sharing login credentials, transferring account ownership, or granting third-party access to your profile is strictly prohibited.

4. Software License Grant & Permitted Use

  • Limited License: Subject to your continuous compliance with these Terms, Vertex Algo grants you a personal, non exclusive, non transferable, revocable, and limited license to use our custom indicators solely for your own private, personal trading analysis.

  • Strict Prohibitions: You are expressly forbidden from selling, reselling, sublicensing, renting, leasing, redistributing, or commercializing access to our scripts or community channels in any capacity.

5. Acceptable Use Policy & Anti-Piracy

  • Code Protection: Reverse engineering, decompiling, disassembling, modifying, translating, or attempting to extract the underlying source code, logic, or Pine Script parameters of our indicators is strictly prohibited.

  • Circumvention: Any attempt to bypass, disable, or tamper with our automated licensing, security features, or script access controls will result in an immediate, permanent global ban.

  • Zero Tolerance for Piracy: Distributing cracked versions, shared access links, or unauthorized copies of our indicators will result in immediate termination of service without warning or refund, alongside potential legal action for intellectual property infringement.

6. Subscription Plans, Billing & Payment Terms

  • Billing Cycles: Access to our software operates on a recurring subscription basis (e.g., monthly, quarterly, or annual billing intervals) managed through our designated payment processor, Whop.

  • Payment Authorization: By initiating a subscription, you grant our payment processor explicit authorization to automatically charge your chosen payment method on a recurring basis corresponding to your selected billing cycle.

  • Billing Data Accuracy: You are responsible for maintaining up to date, valid payment information. Failed billing attempts due to expired cards or insufficient funds may result in immediate suspension of software and community access.

7. Auto-Renewal & Price Modifications

  • Automatic Renewal: All subscriptions automatically renew at the end of each billing cycle unless canceled prior to the renewal timestamp.

  • Price Adjustments: We reserve the right to modify subscription pricing at any time. Notice of price changes will be provided via website updates or email communication prior to your next billing cycle.

8. Cancellation Procedures

  • User Managed Cancellation: You retain the absolute right to cancel your recurring subscription at any time directly through your Whop user dashboard or customer billing portal.

  • Immediate Effect on Billing: Successfully completing the cancellation process instantly halts all future automated renewal charges.

  • Access Until Period End: Canceling your subscription does not trigger a refund for unused days. You will maintain uninterrupted access to the software and community until your current paid billing period officially expires.

9. Strict No-Refund Policy & Digital Fulfillment

  • Immediate Digital Consumption: Because our software scripts and community access are provisioned and delivered instantly upon successful payment, the service is deemed fully executed and consumed upon delivery.

  • All Sales Final: Due to the proprietary, non-returnable nature of digital software code, all sales are final. We do not offer refunds, partial refunds, prorated credits, trial periods, or exchanges under any circumstances.

  • Buyer Responsibility: It is solely the user’s responsibility to verify compatibility with their TradingView account tier, technical requirements, and personal trading needs prior to completing a purchase.

10. Chargeback, Dispute & Fraud Mitigation Policy

  • Digital Evidence Logging: Upon purchase and software access, our systems automatically log and archive verifiable digital evidence, including IP addresses, login timestamps, script activation requests, and community entry logs.

  • Fraud Classification: Filing an unauthorized bank chargeback, payment reversal, or PayPal/Whop dispute while simultaneously retaining active access to our digital tools is classified as fraudulent behavior.

  • Dispute Enforcement: Any fraudulent chargeback will be aggressively contested using our archived delivery logs submitted directly to payment networks and banking institutions.

  • Global Ban: Initiating a chargeback results in an immediate, permanent ban across all Vertex Algo infrastructure, revoking all active script licenses instantly.

11. Intellectual Property Rights

  • Exclusive Ownership: All software code, indicator logic, Pine Script structures, visual graphics, logos, website design, text copy, and brand assets associated with Vertex Algo are the exclusive intellectual property of the Company.

  • Trademark Protection: All rights reserved. Unauthorized use of our brand name, logos, or proprietary assets constitutes a direct violation of international copyright and intellectual property laws.

12. Financial, Trading & Investment Disclaimers

  • Software Provider Only: Vertex Algo is a software development and technical analysis tool provider, not a registered financial advisor, broker-dealer, commodity trading advisor, or investment bank.

  • Educational Purpose: All indicators, alerts, strategies, backtests, charts, and digital content provided on our platform are strictly for informational and educational purposes and do not constitute professional financial or investment advice.

  • High Financial Risk: Trading stocks, options, futures, cryptocurrencies, and foreign exchange carries substantial risk of financial loss. The overwhelming majority of retail day traders lose money.

  • No Performance Guarantees: Any backtested results, historical chart examples, or simulated setups displayed on our platform are generated with the benefit of hindsight and do not guarantee future performance or live market results.

  • Personal Capital Accountability: We do not possess access to your personal brokerage accounts, capital, or trading funds. You acknowledge that you trade entirely at your own risk and are 100% responsible for your own financial decisions, execution, and risk management.

13. Limitation of Liability & Warranty Disclaimers

  • As-Is Provision: The Services and software indicators are provided on an “as-is” and “as-available” basis without warranties of any kind, whether express or implied.

  • Exclusion of Damages: To the maximum extent permitted by applicable law, Vertex Algo, its founders, developers, and affiliates shall not be held liable for any direct, indirect, incidental, special, consequential, or punitive damages—including financial losses, capital erosion, or loss of profits—arising out of your use of our software.

14. Indemnification Obligations

  • You agree to defend, indemnify, and hold harmless Vertex Algo and its operators from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of your violation of these Terms of Service or your misuse of our software and trading tools.

15. Third-Party Platforms & Trademarks

  • TradingView Ecosystem: Our software operates as an independent technical analysis tool built for the TradingView platform. TradingView® is a registered trademark of TradingView, Inc. Vertex Algo operates independently as a third-party developer and is not officially affiliated with, endorsed by, or partnered with TradingView, Inc.

  • Third-Party Gateways: Payment processing is handled securely via external platforms (Whop and Stripe). We assume no liability for system outages, processing failures, or security breaches originating from third-party networks.

16. Privacy & Data Collection Reference

  • Your privacy is critical to us. We collect minimal necessary data (such as your email and TradingView username) solely for account management and script authorization. Data is handled securely and is never sold to third parties. Review our Privacy Policy for full details.

17. Modifications & Updates to Terms

  • We reserve the right to alter, amend, or completely update these Terms of Service at our sole discretion at any time. Changes become effective immediately upon posting the revised terms to our website.

  • Your continued use of our website or software following any updates constitutes your explicit acceptance of the revised terms.

18. Governing Law & Jurisdiction

  • These Terms of Service and any disputes arising out of or related to them shall be governed by and construed in accordance with applicable digital commerce frameworks and local commercial standards without regard to conflict of law principles.

19. Severability

  • If any provision of these Terms is found to be unlawful, void, or unenforceable, that specific provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

20. Entire Agreement

  • These Terms of Service, alongside our Privacy Policy, constitute the entire and exclusive agreement between you and Vertex Algo regarding your use of the Services, superseding any prior agreements or communications.
